China, Shanghai, Beijing and Suzhou
In 1986, Frankie Tan carried out a feasibility study on a proposed
hotel project in Suzhou. At that time Suzhou was the “old city”
full of historical charms.
In 1987 Frankie Tan organised a three week management program in Singapore
for 30 MBA graduates from the Shanghai University of Finance &
Economics, one of the most prestigious university in Shanghai. This
was a pioneering effort at that time when China was just liberalising
its economy. The entire program was at the request of the Shanghai Municipal
Government which also funded the costs.
The remarkable success of the 1987 management program prompted the Shanghai
Municipal Government and the Shanghai University of Finance & Economics
to fund a second Singapore program in 1988, again organised by Frankie Tan.
This was also for 32 MBA graduates.
In 1988 the World Bank funded three China study missions on the electronics
industry. One China mission went to Ireland, one went to South America
and the third came to Singapore. We organised the Singapore study mission
for about 15 China delegates from several provinces led by the Ministry
of Electronics, Beijing.
We reviewed the terms of a joint-venture agreement for an English public
listed company for an investment in southern China.
Corporate Finance, working with bankers and venture capital
Three of our staff worked full-time for five weeks in Balikpapan to review
the operations of an engineering company with a view to assisting the
client company negotiate with its German bankers.
We were retained to assist a Singapore distributor of a Japanese company
which manufactures currency recognition software to negotiate with a leading
venture capital company for more capital. We represented the Singapore
distributor in a series of protracted negotiations leading to a final
shareholders’ agreement.
We also produced the investment appraisal, sensitivity analysis, the
forecast projections of profit and cashflows. We were also asked to headhunt
for a senior manager for the new joint-venture company.
Acquiring other companies
We were retained by Filtrona International Plc, a division of the Bunz
Group Plc, to search for a possible candidate acquisition company.
Frankie Tan acted as the corporate consultant to an Indonesian conglomerate
following its takeover of a public-quoted company in Singapore. We provided
a team which spent two months on this assignment.
We provided corporate advice on the restructuring of a group of educational
institutions following its takeover of an established and well-known Singapore
private school and college.
Sale of Businesses
We assisted the lawyers of a Singapore company in selling the Singapore
company’s businesses to Fisons Plc.
We were asked to negotiate the sale of a specialised engineering company
owned by an American expatriate.
Vietnam, Malaysia, Thailand and Indonesia
From time to time we carry out market development studies on the South
East Asian markets. In 1995, we organised a study mission to Ho Chi Minh
City and Hanoi at a time when Vietnam was still reforming its economy.
We had meetings with a member of the National Assembly, the SCCI, the
Ministry of Trade, the Vietnam Chamber of Commerce, and several investment
agencies.
Setting up Regional Operations : Registering a Regional Office,
Incorporating a Singapore Company
We are particularly successful in setting up regional operations for multinational
companies. We provide a one-stop business service from the start : getting
the necessary facts and statistics for head office to decide, obtaining
approvals from government agencies, looking at suitable office locations,
applying for employment passes, incorporating the company, registering
a regional representative office, opening the bank accounts, recruiting
suitable staff, and providing corporate, tax and accounting advice and
services.
We were retained by a leading European pharmaceutical company in 1987
to help set up its Asia Pacific Regional Office in Singapore. In 1988
we assisted a public quoted company from Denmark in establishing Singapore
as its Asia Pacific Headquarters.
We were retained by Renault, the French automobile conglomerate, to
provide corporate, tax and business services in the setting up of its
Asia Pacific Regional Representative Office in Singapore. See TLC

In 2000, we provided similar one-stop corporate and business services
to Belle Systems A/S (now known as Digiquant A/S) an internet software
company which was aiming for a public listing in Denmark and New York.
Our one-stop professional services include : incorporation of the Singapore
company, tax and corporate advice, banking and payroll services, securing
employment passes, and providing internet accounting services on-line
